Terms of Service

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the information you provide, for keeping your account credentials secure, and for all activity that occurs under your account.

Sonaira is a marketing platform that uses artificial intelligence to help businesses plan strategy, generate creatives and content, analyze performance, and create or manage advertising campaigns across connected platforms. Features may change, expand, or be discontinued over time.

The Service lets you connect third-party platforms (such as Google Ads, Google Analytics, Meta, and Mailchimp). By connecting an account, you authorize Sonaira to access and act on that account on your behalf to provide the features you request. You represent that you have the right to connect those accounts, and you remain responsible for complying with each platform's terms and policies. Your use of those platforms is also governed by their respective agreements.

The Service generates content and recommendations using AI, which may be inaccurate, incomplete, or unsuitable for your purpose. You are responsible for reviewing all AI-generated output before relying on, publishing, or acting on it. Advertising campaigns created through the Service are created in a paused state and are not made live until you explicitly enable them; you are responsible for any spend you authorize.

You retain ownership of the content and data you provide or connect ("Customer Data"). You grant Sonaira a limited license to host, process, and use Customer Data solely to provide and improve the Service for you, as described in our Privacy Policy. You are responsible for ensuring you have the rights necessary to provide that data.

You agree not to:

• Use the Service for any unlawful, deceptive, or fraudulent purpose.
• Infringe the intellectual property or privacy rights of others.
• Upload malware, attempt to breach security, or disrupt the Service.
• Reverse engineer, resell, or misuse the Service or access it through automated means without permission.
• Violate the terms or policies of any connected third-party platform.

The Service, including its software, design, and content (excluding Customer Data), is owned by Sonaira and protected by intellectual property laws. These Terms do not grant you any rights in the Service other than the limited right to use it as permitted here.

Some features may require a paid subscription. Applicable fees, billing terms, and cancellation rights will be presented to you before purchase. Advertising spend paid to third-party platforms is separate from, and not collected by, Sonaira.

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI output or marketing results will meet your expectations.

To the maximum extent permitted by law, Sonaira will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim will not exceed the amounts you paid to us for the Service in the twelve months preceding the claim.

You agree to indemnify and hold Sonaira harmless from claims, losses, and expenses arising from your Customer Data, your use of the Service, or your violation of these Terms or any third-party rights.

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or to protect the Service. Upon termination, your right to use the Service ends; sections that by their nature should survive will continue to apply.

We may update these Terms from time to time. We will revise the "Last updated" date above and, where appropriate, notify you. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules. Any disputes will be subject to the exclusive jurisdiction of the courts located there, unless otherwise required by applicable law.
